Abstract

The financial investments required from startups to the development of its projects stimulated the emergence of a new type of companies directed to raise funds in collective manners called crowdfunding. The crowdfunding may be the donation, reward, loan or investment type, the last two being the most usual, once bring benefits to entrepreneurs, borrowers and investors, resulting in profits. To discipline all these arrangements in Brazil, the Securities Commission (CVM) and the Central Bank (BACEN) edited normative rules to regulate this arising market in order to bring more transparency, safety and efficiency. This paper analyses the most common investments available to startups in its lifecycles and mostly the regulations enacted by CVM and  BACEN on the loan and investment crowdfunding procedures, detailing its benefits and critical points to investors and entrepreneurs, structural limitations of the applicable legislation and the impacts of this sort of virtual platform to the development of startups in the country, through data exposition and statistics from this existing companies’ type.
